MITA Motorsports Terms of Use, Sales, Shipping, Returns and Refund Policy

These Terms of Use, together with any applicable product-specific terms, shipping policies, return policies, privacy policies, and other policies expressly incorporated into these Terms (collectively, the “Terms”), govern your access to and use of the MITA Motorsports website and your purchase of products from MITA.

For purposes of these Terms, MITA合同会社 (“MITA,” “MITA Motorsports,” “we,” “us,” or “our”) refers to the operator and seller identified in the applicable legal and commercial information provided on our website.

By accessing, browsing, registering on, or purchasing products through this website, you acknowledge that you have read and understood these Terms and agree to be bound by them to the extent permitted by applicable law.

If you do not agree to these Terms, you must not use the website or purchase products through it.

Nothing in these Terms is intended to exclude, restrict, or waive any consumer rights or other rights that cannot legally be excluded, restricted, or waived under applicable law.

1. Use of the Website

MITA owns or has the appropriate rights to use the content displayed on this website, including text, articles, photographs, images, graphics, product information, logos, trademarks, videos, software, designs, and other materials (collectively, “Content”).

You may access and use the website for lawful personal or legitimate business purposes in accordance with these Terms.

Except as expressly permitted by MITA or applicable law, you may not:

• copy, reproduce, modify, distribute, publish, transmit, display, perform, sell, license, or commercially exploit Content;

• create derivative works from Content;

• reproduce or use MITA trademarks, logos, names, or other intellectual property without prior written permission;

• systematically download, scrape, collect, or reproduce website Content or product information;

• use automated systems, bots, crawlers, or similar tools to access or collect information from the website without MITA’s prior written permission;

• use Content for the purpose of creating or operating a competing business or service;

• remove, alter, obscure, or modify copyright, trademark, or other proprietary notices; or

• use the website for any unlawful, fraudulent, abusive, or unauthorized purpose.

Limited copying or downloading for ordinary personal use is permitted only to the extent reasonably necessary to use the website, provided that all proprietary notices remain intact and the Content is not redistributed or commercially exploited.

2. Prohibited Conduct

You must not use the website, our services, or any MITA communication channel to:

• violate any applicable law or regulation;

• impersonate another person or entity;

• provide false, misleading, fraudulent, or materially incomplete information;

• interfere with the operation, security, or availability of the website;

• attempt to gain unauthorized access to accounts, systems, servers, databases, or information;

• introduce viruses, malware, spyware, ransomware, malicious code, or other harmful software;

• conduct scraping, crawling, flooding, denial-of-service activity, or other activity that places an unreasonable burden on our systems;

• collect or misuse personal information belonging to another person;

• transmit spam, chain letters, pyramid schemes, unauthorized advertising, or unsolicited commercial communications;

• manipulate reviews, ratings, orders, prices, promotions, or other website functions;

• use multiple accounts or identities to circumvent restrictions, purchasing limits, promotions, or other controls;

• abuse chargebacks, payment disputes, refund processes, or other payment mechanisms;

• purchase products with the intention of committing fraud, reselling in violation of applicable restrictions, or otherwise abusing MITA’s services; or

• harass, threaten, defame, or intentionally abuse MITA personnel, contractors, vendors, customers, or other persons.

MITA may take reasonable action in response to suspected violations, including cancelling orders, restricting access, suspending or terminating accounts, refusing future transactions, preserving relevant records, and pursuing available legal remedies.

3. User Content and Communications

If you submit reviews, comments, photographs, videos, messages, feedback, or other material to MITA (“User Content”), you represent that:

1. you own or otherwise have the necessary rights to submit the User Content;

2. the User Content does not infringe the rights of another person;

3. the User Content is not unlawful, fraudulent, defamatory, threatening, or misleading; and

4. you have obtained any permissions required from persons appearing in photographs, videos, or other materials.

You retain ownership of your User Content.

However, by submitting User Content to MITA, you grant MITA a non-exclusive, worldwide, royalty-free license to use, reproduce, display, publish, adapt, and distribute the User Content for purposes reasonably related to operating, promoting, and improving MITA’s business and services.

MITA may remove User Content that it reasonably believes violates these Terms or applicable law.

4. Social Media and Direct-Message Sales

Orders or purchases arranged through MITA’s official social media accounts, messaging services, email, or other communication channels remain subject to MITA’s applicable sales, payment, shipping, return, warranty, and other policies.

Use of any third-party social media or messaging platform remains subject to that platform’s own terms, policies, and rules.

Where a MITA employee or representative communicates with a customer through a private message or social media platform, the communication does not modify these Terms unless MITA expressly confirms such modification in writing.

Customers should retain order confirmations, invoices, receipts, and other written records relating to purchases.

MITA is not responsible for transactions conducted through unauthorized accounts, impersonation accounts, fraudulent websites, or persons falsely claiming to represent MITA.

5. Product Information and Availability

MITA makes reasonable efforts to provide accurate product descriptions, specifications, photographs, compatibility information, pricing, and availability.

However, product images may differ from the actual product due to photography, lighting, manufacturing revisions, packaging changes, or display settings.

Product specifications, colors, packaging, included components, and manufacturer designs may change without notice.

Unless expressly stated otherwise, photographs are for illustrative purposes only.

MITA does not guarantee that every product shown on the website will remain available.

Product availability is not guaranteed until an order has been accepted by MITA.

MITA may correct typographical, pricing, inventory, specification, or other errors and may cancel or adjust an order affected by an obvious error, subject to applicable law.

6. Orders and Contract Formation

Submitting an order constitutes an offer to purchase the selected products.

An automated order confirmation or acknowledgment of receipt does not necessarily constitute MITA’s final acceptance of the order.

A sales contract is formed when MITA accepts the order, processes the transaction, or otherwise confirms acceptance, subject to applicable law.

MITA reserves the right to decline, cancel, limit, or place conditions on an order where reasonably necessary, including where:

• the product is unavailable;

• there is an obvious pricing or product-description error;

• payment cannot be verified or completed;

• fraud or unauthorized payment activity is suspected;

• the order appears to be abusive or fraudulent;

• purchasing limits have been exceeded;

• the requested delivery cannot reasonably be completed;

• the order contains materially inaccurate information; or

• cancellation is otherwise permitted by applicable law.

If MITA cancels an order after payment has been received, MITA will process any applicable refund in accordance with these Terms and applicable law.

7. Pricing and Currency

Prices are displayed in the currency indicated on the website at the time of purchase.

MITA may change prices, currencies, promotions, discounts, and other commercial terms prospectively.

A price change does not retroactively modify an order that has already been accepted, except where an obvious pricing or listing error has occurred and cancellation or correction is permitted by applicable law.

Unless expressly stated otherwise, product prices do not necessarily include shipping charges, customs duties, import taxes, brokerage charges, or other charges imposed by the destination country.

8. Price Matching

MITA may offer price matching at its discretion.

Price matching is not guaranteed and is subject to verification.

A competing offer must generally:

• be from an authorized and legitimate retailer;

• offer the identical product, including brand, model, specifications, and applicable configuration;

• be publicly available and verifiable;

• be available for purchase at the time the request is submitted; and

• include comparable shipping and other material costs where applicable.

Price matching generally does not apply to:

• clearance or liquidation sales;

• used, refurbished, open-box, or damaged products;

• auction listings;

• marketplace sellers that are not authorized retailers;

• limited-time coupon codes;

• membership-only pricing;

• pricing errors;

• bundle offers;

• products with materially different warranties or conditions; or

• offers that MITA reasonably determines cannot be independently verified.

Price matching must be approved by MITA before the purchase is completed.

Price matching cannot be combined with other discounts or promotions unless MITA expressly agrees otherwise.

MITA’s decision regarding eligibility for price matching is final, subject to applicable law.

Price matching does not determine or modify MITA’s obligations regarding lost, damaged, defective, or incorrectly shipped products.

9. Payment

Customers must provide accurate and complete billing and payment information.

MITA may use third-party payment processors and may be required to verify payment information before accepting an order.

MITA may refuse or cancel transactions where payment cannot be authorized or where fraud or unauthorized use is reasonably suspected.

Customers are responsible for ensuring that their payment information is accurate and that they are authorized to use the selected payment method.

MITA is not responsible for delays caused by banks, card issuers, payment processors, or other third parties.

10. Shipping and Delivery

MITA generally processes orders during its normal business operations.

Estimated processing and delivery periods are estimates only and are not guaranteed unless MITA expressly agrees in writing to a guaranteed delivery arrangement.

Most orders are processed within approximately 24 hours, excluding weekends, Japanese national holidays, temporary closures, inventory issues, and circumstances outside MITA’s reasonable control.

Most orders are shipped within approximately 14 business days unless the product is on backorder, made to order, a pre-order, a special-order item, or otherwise identified as having a different lead time.

Customers requiring a product by a specific date should contact MITA before placing the order and obtain written confirmation regarding availability and shipping options.

A requested delivery date is not guaranteed unless expressly confirmed by MITA.

MITA is not responsible for delays caused by:

• carriers;

• customs authorities;

• weather;

• natural disasters;

• strikes;

• transportation disruptions;

• incorrect or incomplete addresses;

• failure to provide required documents;

• customs inspections;

• import restrictions;

• government actions;

• payment issues;

• recipient absence; or

• other circumstances outside MITA’s reasonable control.

Customers are responsible for providing a complete and accurate delivery address.

11. Lost, Damaged, or Incorrect Shipments

Customers should inspect shipments promptly upon delivery.

If a shipment arrives visibly damaged, customers should document the condition of the package and product and contact MITA as soon as reasonably possible.

If an incorrect product is shipped by MITA, customers should contact MITA promptly and should not install, modify, or otherwise use the incorrect product.

Where appropriate, MITA may require photographs, shipping documentation, packaging information, serial numbers, or other evidence before processing a claim.

MITA may coordinate with the applicable carrier or manufacturer where necessary.

Nothing in this section limits any rights or remedies that cannot legally be excluded.

12. International Orders, Customs, Duties, and Import Taxes

International customers are responsible for understanding the import requirements applicable in their destination country.

Unless expressly stated otherwise at checkout, customers outside Japan are responsible for applicable customs duties, import taxes, brokerage charges, handling fees, and other charges imposed by the destination country or its authorities.

For shipments specifically identified by MITA as DDP (“Delivered Duty Paid”), MITA will arrange the applicable customs and import process in accordance with the terms of the relevant shipping service.

DDP treatment applies only where expressly indicated for the particular order.

Customers must provide any information or documentation reasonably required for customs clearance.

Failure to provide required information, pay charges for which the customer is responsible, or comply with import requirements may result in a shipment being delayed, returned, held, abandoned, or otherwise handled by the carrier or customs authority.

If a shipment is returned because the customer failed to complete required customs procedures or pay charges for which the customer is responsible, the customer may be responsible for applicable return, storage, handling, and reshipment costs to the extent permitted by law.

MITA does not control the decisions of foreign customs authorities and cannot guarantee that a product will be admitted into a particular country.

Customers are responsible for determining whether a product may legally be imported, possessed, installed, or used in their jurisdiction.

13. Product Fitment and Compatibility

Automotive products may vary in compatibility depending on vehicle model, model year, grade, chassis, engine, transmission, market specification, factory options, previous modifications, and other factors.

Customers are responsible for confirming compatibility before purchasing unless MITA expressly provides written confirmation of fitment.

A product being described as compatible with a particular vehicle does not necessarily mean that it is compatible with every configuration of that vehicle.

Customers should provide accurate vehicle information when requesting fitment assistance.

MITA may decline to guarantee fitment where sufficient vehicle information has not been provided.

Customers should not rely solely on photographs, general vehicle descriptions, or third-party information to determine compatibility.

Where appropriate, customers should consult a qualified mechanic or installer before purchasing or installing a product.

14. Installation and Vehicle Modification

Automotive products should be installed by a qualified professional where appropriate.

MITA is not responsible for damage, malfunction, injury, loss, or other consequences caused by improper installation, misuse, modification, incorrect assembly, incompatible components, failure to follow manufacturer instructions, or installation by an unqualified person, except to the extent such liability cannot legally be excluded.

Customers are responsible for confirming that any modification, replacement part, equipment, or installation complies with applicable laws, regulations, inspection requirements, and road-use requirements in the jurisdiction where the vehicle is operated.

Certain motorsport, racing, competition, off-road, or performance products may not be intended or approved for public-road use.

Customers are solely responsible for determining whether a product is appropriate and lawful for their intended use.

15. Returns

MITA’s return policy depends on the reason for the return and the nature of the product.

15.1 Defective or Incorrect Products

If a product is defective, materially different from its description, or incorrectly supplied by MITA, customers should contact MITA promptly after receiving the product.

MITA may request photographs, videos, packaging information, vehicle information, installation details, or other information reasonably necessary to investigate the issue.

Where MITA determines that a product is defective or incorrectly supplied, MITA may provide an appropriate remedy, which may include repair, replacement, exchange, refund, or other remedy required by applicable law.

A customer should not modify, disassemble, install, alter, or attempt to repair a product where doing so may interfere with MITA’s ability to assess a defect unless reasonably necessary for safety.

15.2 Change-of-Mind Returns

For products eligible for voluntary returns, MITA accepts returns of unused and unopened products only if the return conditions displayed at the time of purchase are satisfied.

Unless otherwise stated, a return request must be submitted within five (5) days of purchase.

Any statutory rights applicable to the particular transaction remain unaffected.

Customers are responsible for return shipping costs for voluntary returns unless MITA agrees otherwise or applicable law requires otherwise.

15.3 Non-Returnable Products

Unless otherwise required by applicable law, MITA may not accept returns or cancellations for:

• special-order products;

• custom-made or customized products;

• products ordered specifically for a customer;

• products identified as non-returnable before purchase;

• products that have been installed, used, modified, painted, altered, or damaged after delivery;

• products missing original packaging or components where the packaging or components are reasonably necessary for resale;

• products that cannot reasonably be resold due to their condition; and

• other products for which applicable law permits exclusion from voluntary returns.

OEM products, aftermarket partner products, and other third-party products may be subject to additional manufacturer or supplier restrictions.

16. Restocking and Cancellation Fees

For eligible MITA-original products, MITA may charge a restocking or cancellation fee of up to 20% where the applicable product or order terms disclosed before purchase permit such fee.

The fee may apply to voluntary cancellations, pre-orders, or eligible returns where disclosed.

The fee does not apply where prohibited by applicable law or where MITA is responsible for the relevant issue, including where MITA supplies a materially defective or incorrect product.

Special-order, custom, or supplier-restricted products may be subject to different cancellation terms where those terms were disclosed before purchase.

17. Refunds

Approved refunds will generally be processed after MITA has confirmed the applicable refund amount and, where required, received and inspected the returned product.

Refunds will generally be processed within a reasonable period after approval.

The time required for funds to appear in the customer’s account may depend on the payment provider, bank, credit-card company, or other financial institution.

Unless otherwise required by applicable law, original shipping charges, customs charges, duties, brokerage charges, and other third-party charges may be non-refundable where they were properly incurred and are not recoverable by MITA.

Where a refund is required because MITA supplied an incorrect or defective product, MITA will handle applicable shipping or other costs in accordance with applicable law and the circumstances of the case.

18. “AS IS” Products

Products specifically identified as “AS IS” may have disclosed cosmetic imperfections, packaging damage, discontinued status, minor defects, or other conditions described on the product page.

The specific condition of an “AS IS” product will be described before purchase to the extent reasonably possible.

Except for rights that cannot legally be excluded, “AS IS” products are sold subject to the condition disclosed at the time of purchase and may be final sale.

An “AS IS” designation does not permit MITA to exclude liability or statutory rights that cannot legally be excluded.

Customers should carefully review the product description and condition before purchasing an “AS IS” product.

19. Third-Party and Manufacturer Products

MITA may sell products manufactured by third parties.

Manufacturer warranties, if any, are provided according to the applicable manufacturer’s warranty terms.

MITA does not create or extend a manufacturer’s warranty unless expressly stated.

MITA may assist customers in communicating with a manufacturer regarding a warranty claim but does not guarantee the outcome of a third-party warranty claim.

Nothing in this section limits any rights or remedies that customers may have against MITA under applicable law.

20. Product Warranty and Legal Compliance

Except where expressly stated otherwise or required by applicable law, MITA does not provide any additional warranty beyond the warranties and remedies applicable to the particular product and transaction.

Customers are responsible for using products in accordance with applicable instructions and for determining whether products are suitable for their intended application.

Customers are also responsible for determining whether installation or use of a product complies with applicable laws, regulations, vehicle inspection standards, road-use requirements, and other legal requirements in the jurisdiction where the product is used.

MITA does not guarantee that a product intended for motorsport, competition, off-road, or other specialized use is legal for use on public roads.

21. Shipping and Manufacturing Delays

Estimated manufacturing, supplier, and shipping dates are estimates only.

MITA does not guarantee that a product will be available or delivered by a customer’s personal deadline unless MITA expressly provides a written guarantee.

Manufacturing delays, supplier delays, transportation delays, customs delays, and other circumstances outside MITA’s reasonable control do not automatically constitute a breach of these Terms.

Where a delay materially affects an order, MITA may provide updated information or available options to the customer.

22. Intellectual Property

All Content and intellectual property displayed on the website are owned by MITA or licensed to MITA unless otherwise stated.

MITA’s trademarks, logos, trade names, product names, designs, photographs, written materials, graphics, and other proprietary materials may not be reproduced, modified, distributed, or commercially used without prior written permission.

Nothing in these Terms grants you ownership of MITA’s intellectual property.

23. Copyright and Intellectual Property Complaints

If you believe that material appearing on the MITA website infringes your copyright, trademark, or other intellectual property rights, please contact MITA with sufficient information to identify:

• the protected work or right allegedly infringed;

• the material at issue;

• the location of the material on the website;

• your contact information;

• your relationship to the relevant intellectual property; and

• any other information reasonably necessary for MITA to investigate the complaint.

MITA may remove or restrict access to material where it reasonably determines that doing so is appropriate or legally required.

24. Third-Party Websites

The website may contain links to third-party websites.

MITA does not control third-party websites and is not responsible for their content, availability, security, privacy practices, products, services, or policies.

Customers who access third-party websites do so at their own risk and should review the applicable third party’s terms and policies.

25. Privacy and Personal Information

MITA may collect and process personal information in connection with website use, account registration, orders, payments, shipping, customer support, and other business activities.

MITA will handle personal information in accordance with its applicable Privacy Policy and applicable Japanese privacy laws and regulations.

Customers must not submit another person’s personal information unless they have the necessary authority or permission to do so.

Customers must provide accurate information necessary to process and fulfill their orders.

26. Website Availability and Security

MITA makes reasonable efforts to maintain the website but does not guarantee that the website will always be available, uninterrupted, secure, or free from errors.

The website may occasionally be unavailable because of maintenance, updates, technical problems, security incidents, network failures, or circumstances beyond MITA’s reasonable control.

MITA may modify, suspend, restrict, or discontinue any portion of the website without prior notice where reasonably necessary.

27. Limitation of Liability

To the maximum extent permitted by applicable law, MITA and its officers, employees, agents, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or relating to the use of the website or products purchased through the website.

However, nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.

In particular, these Terms do not exclude or limit liability to the extent such exclusion or limitation would be invalid under the Consumer Contract Act, the Civil Code, the Product Liability Act, or any other applicable law.

MITA’s liability, where legally permissible to limit it, shall be limited to the extent reasonably permitted under applicable law and taking into account the nature of the transaction and the circumstances giving rise to the claim.

For B2B transactions, the parties may agree to additional or different liability provisions in a separate written agreement.

28. Indemnification

To the extent permitted by applicable law, a customer may be responsible for losses or reasonable costs incurred by MITA as a result of the customer’s:

• unlawful conduct;

• intentional misconduct or negligence;

• violation of these Terms;

• infringement of another person’s intellectual property or other rights;

• fraudulent use of the website or payment system; or

• submission of User Content that infringes another person’s rights.

This section does not require a consumer to indemnify MITA for matters that cannot lawfully be imposed on the consumer.

29. Suspension and Termination

MITA may suspend or terminate a customer’s access to the website or services where reasonably necessary, including in cases involving:

• violation of these Terms;

• suspected fraud;

• unauthorized payment activity;

• abusive or threatening conduct;

• attempts to compromise website security;

• unlawful activity;

• misuse of promotions or purchasing systems; or

• other conduct that materially interferes with MITA’s business or the rights of others.

Where appropriate, MITA may cancel pending orders or restrict future purchases.

Termination or suspension does not eliminate rights or obligations that arose before termination.

30. Force Majeure

MITA will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, earthquakes, severe weather, fire, war, terrorism, civil unrest, government action, epidemics, pandemics, transportation disruptions, labor disputes, customs restrictions, supplier failures, utility failures, telecommunications failures, cyber incidents, or other comparable events.

Where reasonably possible, MITA will take reasonable steps to minimize the impact of such events.

31. Changes to These Terms

MITA may update these Terms from time to time.

Updated Terms will become effective when posted on the website unless a different effective date is stated.

Changes will generally apply prospectively.

The version of the Terms applicable to an order will be the version applicable at the time the order was accepted, unless otherwise required by law or expressly agreed with the customer.

Continued use of the website after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

32. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.

No invalid provision shall affect the validity of the remaining provisions.

33. No Waiver

A failure or delay by MITA to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy.

A waiver must be expressly made by MITA in writing to be effective.

34. Entire Agreement

These Terms, together with any policies or terms expressly incorporated by reference and any applicable written order-specific terms, constitute the agreement between you and MITA concerning your use of the website and purchases made through it, except where a separate written agreement applies.

If a separate written agreement expressly applies to a particular transaction, that agreement will govern to the extent of any conflict.

35. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, except to the extent that applicable law requires otherwise.

Nothing in this section is intended to deprive a consumer of mandatory protections that apply under the laws that cannot legally be excluded by agreement.

36. Jurisdiction

To the extent permitted by applicable law, disputes arising from or relating to these Terms or transactions with MITA shall be subject to the jurisdiction of the courts having lawful jurisdiction over MITA’s principal place of business in Japan.

Where mandatory law provides a consumer with additional rights regarding the appropriate court or place of proceedings, those rights shall remain unaffected.

37. Applicable Consumer Protection Laws

These Terms are intended to comply with applicable Japanese consumer protection laws, including the Consumer Contract Act, the Act on Specified Commercial Transactions, the Civil Code, the Product Liability Act, and other applicable laws and regulations.

Where any provision of these Terms conflicts with a mandatory provision of applicable law, the mandatory provision shall prevail.

No provision of these Terms shall be interpreted as requiring a customer to waive a statutory right that cannot legally be waived.

38. Business Customers

Where a customer purchases products in the course of operating a business or for business purposes, the transaction may be treated as a B2B transaction to the extent permitted by applicable law.

Certain consumer-specific protections may not apply to B2B transactions.

MITA may request reasonable information to confirm whether an order is being placed for personal/consumer use or business purposes where such distinction is relevant to the applicable terms.

39. Final Sale and Special-Order Products

Products identified before purchase as final sale, special order, custom order, made-to-order, discontinued, or otherwise restricted are subject to the specific conditions displayed with the product.

Customers are responsible for reviewing those conditions before completing the purchase.

No cancellation or return will be accepted where prohibited by the disclosed product-specific terms, except where a statutory right or mandatory remedy applies.
